Agreement, authority, and eligibility

These Terms of Service are an agreement between Dwellori and the organization that uses the service (the "customer"). They govern each authorized user's use of the service. The agreement also includes any order form or plan selection, the Data Processing Agreement where it applies, and the policies these Terms link to. If these documents conflict, an order form controls first, then the Data Processing Agreement for personal data, then these Terms, then the linked policies.

A person who accepts these Terms for an organization confirms that they are authorized to bind it. Dwellori is for business use only. Users must be at least 18 years old and must not be barred by law from using the service.

Accounts and workspaces

Users must provide accurate account information, protect authentication credentials, use only their own account, and promptly report suspected unauthorized access. Customers control workspace invitations and must assign only the access each user needs.

The customer is responsible for its users' activity and for removing access when a user no longer needs it. Dwellori may require email verification and may block or recover access to protect users, customer data, or the service.

Service, support, and product changes

Dwellori provides lead-response workflow, prioritization, contact, task, communication, import, privacy, and related operational tools that are enabled for the customer's plan and configuration.

Dwellori improves and changes the service over time, but will not materially reduce the core functionality of a paid plan during a paid subscription period. If a change materially harms the customer, Dwellori will give at least 30 days' notice where practicable, and the customer may cancel and receive a pro-rata refund of prepaid fees for the unused period.

Dwellori provides support by email and does not offer a service-level agreement. Features labeled beta, preview, or early access are provided as is, may change or end at any time, and are excluded from the commitments in these Terms.

Fees, renewal, and taxes

Fees are the prices shown for the customer's plan on the billing page or in an order form. Paid plans are billed in advance for each billing period through Stripe.

Subscriptions renew automatically for the same billing period until cancelled. The customer can cancel at any time by contacting Dwellori or, where available, in billing settings. Cancellation takes effect at the end of the current billing period, and access continues until then. Fees already paid are non-refundable except as these Terms state or where law requires a refund.

Dwellori will give at least 30 days' notice of a price increase, which applies from the next renewal after the notice period. Fees exclude taxes. The customer pays applicable sales, use, value-added, and similar taxes, except taxes on Dwellori's income.

Metered communications and usage above plan limits are charged at the rates shown before the customer incurs them. If a payment fails, Dwellori will notify the customer and may suspend paid features if the amount remains unpaid 14 days after that notice.

Customer data and privacy roles

As between the parties, the customer retains its rights in data it or its users submit to the service. The customer authorizes Dwellori to process that data only to provide, secure, support, and administer the service and as these Terms describe. Dwellori does not sell customer data.

For lead and contact data, the customer decides the purposes and means of processing and Dwellori acts as its processor or service provider. Dwellori acts as controller or business for account, security, service-operation, and platform-administration data. The Privacy Policy explains these roles.

The customer must have authority to provide customer data, give required notices, honor applicable rights, and issue lawful documented instructions. Where customer data includes personal data protected by data protection law, Dwellori's Data Processing Agreement, based on the Common Paper DPA standard terms, applies and forms part of these Terms. The customer can request a countersigned copy by email.

Dwellori may use aggregated or de-identified data that does not identify the customer or any person to operate and improve the service. Dwellori will not try to re-identify that data.

Read the Privacy Policy and the service-provider list.

Email, SMS, and calling

The customer—not Dwellori—chooses recipients, content, timing, and purpose of customer communications. The customer must establish and record every consent or other authority required by applicable law, carrier rules, and platform policy before sending.

  • Do not infer SMS consent from email, voice, a purchase, or acceptance of these Terms.
  • Keep marketing consent separate where required, preserve the exact consent language and source, and make consent revocation at least as easy as consent collection.
  • Honor STOP, unsubscribe, suppression, quiet-hour, do-not-call, and other channel restrictions. Do not bypass Dwellori compliance blocks.
  • Identify the sender and avoid deceptive headers, subjects, origin information, or content.
  • Use only an approved messaging campaign and use case when registration is required. Carrier or provider acceptance does not establish legal compliance.

Fair housing and nondiscrimination

Customers and users must comply with fair-housing, civil-rights, accessibility, advertising, and professional rules that apply to their work. They must not use Dwellori to discriminate, steer, exclude, rank, or target people unlawfully based on a protected characteristic or a proxy for one.

Dwellori's lead-priority design uses operational factors such as completeness, qualification state, and recency—not known protected traits. Users must review outputs in context and report suspected discriminatory results. This product is not a substitute for legal or professional judgment.

Scoring, summaries, and automation

Scores, queue positions, summaries, extracted tasks, and automated suggestions can be incomplete or wrong. They assist authorized users and must not be treated as guarantees about a person, property, transaction, or legal outcome.

Users remain responsible for reviewing outputs before acting, correcting source data, and making significant decisions. Dwellori does not send message content to large language model providers, and will update the Privacy Policy and service-provider page and notify customers before it does.

Acceptable use

Customers and users must use the service lawfully and within documented technical limits.

  • Do not access another account or workspace, probe security controls, introduce malware, interfere with service operation, or evade rate limits or authorization.
  • Do not upload or disclose data without authority, scrape or sell personal information unlawfully, send spam or abusive communications, or use deceptive identities.
  • Do not use protected characteristics or sensitive inferences for unlawful housing decisions, steering, exclusion, targeting, or differential service.
  • Do not reverse engineer the service except where law does not permit that restriction, remove notices, or use the service to build a competing dataset or service.
  • Do not submit passwords, authentication tokens, payment-card data, government identifiers, health data, or other sensitive data unless a documented feature expressly requires and protects it.

Security and confidentiality

Each party will protect the other party's confidential information with at least reasonable care, use it only for this agreement, and share it only with people who need it and are bound by similar duties. Information is not confidential if it is public through no fault of the receiving party, was already known to it, was independently developed, or was lawfully received from someone else. A party may disclose confidential information when law requires, after giving notice where lawful.

Dwellori maintains technical and organizational safeguards appropriate to the risk, including those described in the Privacy Policy. Dwellori will notify the customer without undue delay, and where practicable within 72 hours, after becoming aware of a security incident affecting customer data, and will provide the information the customer reasonably needs to meet its own obligations. No system can guarantee absolute security.

Third-party services and service providers

Dwellori uses service providers for hosting, authentication, database, email, messaging, rate limiting, and payments. The service-provider page lists them. Dwellori remains responsible for its providers' performance of Dwellori's obligations.

Dwellori will update the service-provider page at least 30 days before a new provider begins processing customer personal data, and the customer may object on reasonable data protection grounds under the Data Processing Agreement. Third-party services that the customer connects, such as calendars or lead sources, are governed by the customer's own terms with those providers.

Intellectual property and feedback

Dwellori and its licensors retain all rights in the service, documentation, design, and software. During its subscription, and subject to these Terms, Dwellori grants the customer a limited, non-exclusive, non-transferable right to use the service for its internal business purposes.

Dwellori may use feedback from the customer or its users without obligation. Dwellori will not name the customer publicly as a customer without its permission. Open-source components are licensed under their own terms.

Suspension, termination, and data return

Dwellori may suspend access to the extent reasonably necessary to contain a security threat, stop unlawful or abusive use, address a material breach, or address fees unpaid 14 days after notice. Dwellori will give notice before suspending where it is safe and lawful to do so, limit the suspension to what is necessary, and restore access when the cause is resolved.

Either party may terminate this agreement if the other materially breaches it and does not cure the breach within 30 days after written notice. The customer may also cancel as described under fees.

After termination, the customer has 30 days to export its data or ask Dwellori for a copy. Dwellori then deletes customer data within 60 more days, except backup copies until they expire, data under a legal hold, and records the Privacy Policy says are kept for a stated period. Terms that by their nature should survive termination, including fees owed, confidentiality, disclaimers, indemnities, limits of liability, and disputes, survive.

Warranties, disclaimers, indemnities, and liability

Each party confirms that it has authority to enter this agreement. During a paid subscription, Dwellori warrants that the service will perform materially as described in its documentation. If it does not, Dwellori will use reasonable efforts to correct it. If Dwellori cannot correct it within 30 days of notice, either party may end the affected subscription and Dwellori will refund prepaid fees for the unused period. That is the customer's sole remedy for breach of this warranty.

Except as these Terms state, and to the fullest extent law allows, the service is provided as is and as available, and Dwellori disclaims all other warranties, including implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, and non-infringement. Dwellori does not provide legal, real-estate, fair-housing, tax, financial, or compliance advice. Product outputs and records do not replace the customer's independent duties or professional judgment.

Dwellori will defend the customer against a third-party claim that the service, as Dwellori provides it, infringes that third party's intellectual-property rights, and will pay the resulting damages finally awarded or agreed in settlement. The customer will do the same for Dwellori against a third-party claim arising from customer data, communications the customer sends through the service, or the customer's breach of the communications, fair-housing, or acceptable-use terms. The party seeking defense must give prompt notice, reasonable cooperation, and control of the defense and settlement.

Neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or goodwill. Each party's total liability under this agreement is limited to the fees the customer paid or owed to Dwellori in the 12 months before the event giving rise to the claim, or US$100 if no fees were payable. These limits do not apply to the customer's obligation to pay fees, to either party's defense obligations above, or to liability for fraud, gross negligence, willful misconduct, death or personal injury caused by negligence, or any other liability that law does not allow to be limited.

Governing law and disputes

These Terms and any dispute arising from them are governed by the laws of the State of Florida and, where they apply, the federal laws of the United States, without regard to conflict-of-law rules. The state and federal courts located in Florida have exclusive jurisdiction, and each party consents to their personal jurisdiction, except that either party may seek urgent injunctive relief in any court with jurisdiction.

Before starting proceedings, a party must give written notice of the dispute, and the parties' senior representatives must try in good faith to resolve it within 30 days. Nothing in these Terms limits rights that the law of the customer's location does not allow to be waived.

General terms

Neither party may assign this agreement without the other's written consent, except to a successor in a merger, acquisition, or sale of substantially all of the relevant business. Neither party is liable for delay caused by events beyond its reasonable control. If a provision is unenforceable, the rest of these Terms remains in effect. These Terms, with the documents they incorporate, are the entire agreement between the parties on their subject.

Changes, notices, and contact

Each version of these Terms has a version number and an effective date. For a material change, Dwellori will notify workspace owners and administrators by email or in the product at least 30 days before it takes effect, and users accept the new version before they continue using the service. A change does not apply to a dispute that arose before it. If the customer does not agree to a change, it may cancel before the change takes effect and receive a pro-rata refund of prepaid fees.

Dwellori sends notices to the workspace owner's email address. The customer sends notices, including legal notices, to the email address below. Do not email passwords, session tokens, provider credentials, or customer exports.
